Part-time Transactional Attorney- Fremont, CA

SUMMARY

This position provides support to the Legal Department by handling a variety of transactional matters including but not limited to drafting, reviewing, and/or negotiating a variety of licensing, commercial, construction, and renewable energy contracts on behalf of the Company; drafting NDAs; assisting in HR investigations and training, aiding in the Company’s compliance efforts with various government entities and aiding with consumer escalations as needed.

Essential Job Duties and Responsibilities:

  • Draft and negotiate a wide variety of agreements, including partnership, business development, construction, and vendor/supplier agreements.
  • Work with business units to structure long-term, commercial relationships and collaborations.
  • Manage day-to-day commercial needs of the Legal and business units throughout the Company.
  • Oversee the Company’s compliance efforts with government entities such as the Secretary of State offices for each state the Company is located in and/or various government licensing entities.
  • Performing tasks to support the business teams such as drafting demand letters and releases, and/or performing legal analysis associated with various contractual provisions and/or obligations.
  • Maintain corporate meeting minutes and books.
  • Maintain composure, professionalism, and work efficiently during highly stressful circumstances.
  • Must be able to physically work from the Fremont office on a daily basis for at least 15-25 hours a week Flexible days and hours are available.

Knowledge, Skills, and Abilities:

  • Experience working with the Secretary of State and/or other government entities is preferred.
  • Qualified candidates will have 3 – 5 years of transactional experience.
  • Experience in both a law firm and in-house setting is a plus.
  • Ability to take initiative; organize and prioritize workload, as well as use judgement in decision making on how to adequately and efficiently meet multiple deadlines.
  • Excellent written and verbal communication skills.
  • Deadline and detail-oriented.
  • Familiarity with Salesforce, Microsoft Office Suite, including Outlook, Word and Excel and knowledge of Adobe and PDF files.
  • The ideal candidate will interact well with others in a team setting, work effectively under pressure, and have strong organizational skills.
